EVEREST GMR COMMUNITY DEVELOPMENT DISTRICT NOTICE OF SPECIAL MEETING AND ATTORNEY-CLIENT SESSION Notice is hereby given that the Board of Supervisors of the Everest GMR Community Development District (the District) will conduct a special meeting and hold an attorney-client session on: Date: Wednesday, January 14, 2026 Time: 11:00 a.m. Place: 8298 W Irlo Bronson Memorial Highway Orlando, Florida 32817 Attorney-client session is being conducted to discuss settlement negotiations or strategy related to litigation expenditures concerning the ongoing litigation entitled Everest GMR Community Development District v. WBA Portfolio Owner NLP Galaxy, LLC, et. al., Circuit Court of the Ninth Judicial Circuit in and for Osceola County, Florida, Case No. 2024-CA-003324 ED. The special meeting and/or the attorney-client session may be continued to a date, time and place approved by the Board on the record at the meeting without additional publication of notice. There may be occasions when one or more Supervisors will participate by telephone. The special meeting, which is open to the public, will be conducted in accordance with the provisions of Florida law for Community Development Districts. The purpose of the meeting is to address the ongoing litigation referenced above and for the CDD Board to conduct all business authorized by law. At such time, the CDD Board is so authorized and may consider any business that may properly come before it. The attorney-client session, which also begins at or shortly after 11:00 a.m. and is closed to the public, will address settlement negotiations and strategy sessions relating to litigation expenditures. These meetings are being held pursuant to Section 286.011(8), Florida Statutes. The following persons are anticipated to attend such attorney-client session: Jane Gaarlandt, Kwame Jackson, Johnathan Johnson, Dan Langley, Tom Callan, David B. Portwood, Sr., Emy Orellana, Sean Palmer, Raquel Marte-Lluberes, David Reed, and a court reporter. The attorney-client session is expected to last approximately thirty minutes.
